Biotech Intelligence Briefing · Immunic · Vidofludimus calcium · ENSURE · 2027–2042

Two trials, one bar — we make a clean ENSURE win 62%; on base economics the market prices about 44%.

Each twin Phase 3 needs an observed hazard ratio of about 0.74 or lower on time to first relapse, roughly what teriflunomide did vs placebo [cl_01, cl_02, cl_32, cl_34, rg_37]. On the MRI data, the class precedent and the 2024 futility pass, we give both trials winning 62%, and at least one 87% [cl_17, cl_08]. A win is worth $14.34 a share, a split $3.96, a double miss $1.00: $9.99 weighted, against $7.63 (price as of publication) [co_25]. Even a clean win buys a placebo-controlled, teriflunomide-sized drug in a market where two BTK inhibitors have just beaten teriflunomide by half [mk_01, mk_02, mk_09].

The ENSURE readout: three outcomes, one share price

Live for the active scenario. Probabilities come from the trial-odds engine (section 03); each outcome carries its own value per economic share.
What the topline brings. Two identical placebo-controlled trials, each testing time to first relapse at 72 weeks [cl_03, rg_01]. Both can win, one can win (a split), or both can fail. The Feb-2026 common warrants (22.9M at $8.73) expire 30 trading days after the topline announcement, so their exercise is decided by the readout state itself [co_13].

Reading 1: the market doubts the readout

Move P(both positive) with the split probability held at its model value and the base economics held: value = P × "both" + P(split) × "split" + the rest × "fail". The market-implied P(both) is where the line crosses the price as of publication (§7.2).

Table: value per share by P(both)

Reading 2: the market believes the readout, doubts the product

Move the peak share of treated relapsing patients with the model's odds and every other input held (one input solved for spot; the economics are constrained). The market-implied share is where the curve crosses the price as of publication.

The bar: the hazard ratio each trial must show

Computed, not quoted: the ENSURE statistical design is undisclosed.
Undisclosed design. The ENSURE placebo relapse assumption, assumed hazard ratio, alpha, target power and final event count are not disclosed; the company says the IDMC corroborates its assumptions and publishes no values [cl_13]. The bar below is therefore computed under stated assumptions [A]: a 1:1 log-rank test at two-sided 0.05, ENSURE-1 size (n=1,121), true HR 0.69 (teriflunomide parity) and 90% of expected first relapses observed. A trial wins when its observed HR is below exp(−2 × 1.96 / √D).

Observed HR needed to win, by placebo relapse rate, vs teriflunomide

Bars and lines

  • Observed HR needed at each placebo 72-week first-relapse rate (a trial wins below its bar)
  • Teriflunomide parity, HR ≈ 0.69: a 31% reduction under constant hazards, our estimate, not a reported HR [rg_37, cl_32]
  • Model posterior, geometric-mean HR given the passed interim
  • EMPhASIS exploratory HR 0.58, p=0.19 [rg_10]

Reading it

Each trial must show an observed HR of about 0.74 or lower (0.71–0.79): roughly a teriflunomide-sized relapse effect, and both trials must do it. Lower placebo rates mean fewer events and a harder bar.

Table: HR needed by placebo rate

Placebo rate and test, live

Modern RMS populations relapse far less than the TEMSO era: teriflunomide's own ARR fell from ~0.37 to ~0.11–0.14 [cl_32, mk_29]. Dividing by teriflunomide's ~0.69 rate ratio gives a placebo-equivalent ARR of ~0.16–0.20, about 20–24% first relapses over 72 weeks [A, cross-trial]. EMPhASIS saw 23% of placebo patients relapse, over a period the source does not state [rg_10].

Fixed-effect power: per trial / both trials

ENSURE-1 size, no interim, at the active alpha and event fraction. Rows: the true HR; columns: the placebo 72-week first-relapse rate. At teriflunomide parity a double win is close to a coin flip at modern placebo rates. The model averages over this grid with its prior (section 03).

Controls

Prior: a spike at "no relapse effect" (π0) plus a slab centred on teriflunomide parity (HR 0.69, SD 0.20 on log HR) [rg_37], updated with the EMPhASIS exploratory HR 0.58, p=0.19 (SE 0.416) [rg_10]. The 2024 futility pass is used as data under an assumed rule: interim z above fut_z [cl_08]. The rule is undisclosed; the presets span lenient to strict.

Timing risk: registry November 2026 vs "by end of 2026"

History: the October 2022 collapse was a different drug

The share-price chart's largest fall, −77.4% on 21 October 2022 ($9.20 → $2.08 as traded, ×10 on today's split-adjusted charts), followed the after-hours interim of IMU-935, a RORγt inverse agonist in psoriasis, not vidofludimus. Its two active doses did not separate from placebo at week 4, the company citing a larger-than-expected placebo response; there were no new safety signals [hx_01, hx_02]. The preceding run-up came after a $60.0M placement on 10 October, in a release that also flagged the psoriasis data; its cause is not established [hx_03]. Vidofludimus stayed the lead MS asset [hx_04]. The read-across to ENSURE is indirect: a placebo response larger than planned is the input this model is most exposed to (five points less placebo relapse takes P(both) from 0.62 to 0.52), and ENSURE's own timing has slipped since 2022 (see Timing risk).

    Sources, method, self-tests and caveats

Trial odds. Spike-and-slab prior on the ENSURE time-to-first-relapse hazard ratio: P(no relapse effect at 30 mg) π0 (base 0.10 [A]) plus a slab with median HR 0.69 (teriflunomide parity) and SD 0.20 on log HR [A] [rg_37], updated with the EMPhASIS exploratory relapse HR 0.58, two-sided p=0.19, so SE 0.4156 on log HR [rg_10]. Bayes factor slab vs null 1.981; posterior P(null) 0.0531; slab posterior HR 0.668. The true HR takes 49 slab nodes (z = −6 … +6, step 0.25) plus the spike; the placebo 72-week first-relapse rate takes four grid values (base 15/20/25/30%, weights 0.20/0.35/0.30/0.15, mean 22.0% [A]); drug-arm risk = 1 − (1 − placebo)^HR. Expected events = n × mean risk × 0.90 [A]. Each trial's final z is N(−ln HR × √D / 2, 1); its interim z has mean × √0.5 and correlation √0.5 with the final; the two trials share the true HR and placebo rate and are otherwise independent. The 2024 futility pass enters as a likelihood (interim z above fut_z, base 0 [A]) [cl_08]; the "no sample-size increase" outcome carries no direction and is not used. Interim-pass weights and success probabilities are one-dimensional Gauss-Legendre integrals (48 nodes, split at the kink). Each trial is tested at two-sided 0.05 [A].
    Regulatory layer. P(US) = 0.88 × P(both) + 0.30 × P(split), with a one-year delay on the split path; P(EU) = 0.80 × P(both) + 0.25 × P(split) [A]. P(US | both) 0.88 is [validated] against the BIO/Informa neurology NDA-to-approval rate of 86.7% [rg_26]. Base: 0.88 × 0.6175 + 0.30 × 0.2556 = 0.620; the neurology Phase 3-to-approval composite is 0.531 × 0.867 = 0.460 [rg_26, rg_28].
Valuation. Per state: RMS revenue = 450k treated relapsing patients × share × paid fraction × net price, ramped over the years to peak from a 2028 US launch (+1 year on the split path; EU one year later), loss of exclusivity 2042 with 40% then 15% retained, IRA cut from approval + 9 years; COGS, the 5% synthetic royalty [co_17] and SG&A; ex-US always partnered at a royalty plus an upfront; taxed at 21% when positive (NOLs ignored). The US route is the better of go-alone and a US partner in each state [rg_38]. A wind-down sale of the rights at sale_frac is taken when it is worth more. Progressive MS is an option in positive states, floored at zero; IMU-856 a fixed value. Corporate: cash est. 9/30 − Q4 spend − R&D − G&A by state. Discount (1 + r)^(t − 2026), horizon 2026–2045.
Shares, warrants, raise. 42,529,949 economic shares (13,644,467 common + 28,885,482 pre-funded warrants) [co_10, co_11, co_12]. Instruments (Series B $7.50, SARs $7.65, Feb-2026 warrants $8.73 with a 6% fee, placement-agent warrants $11.25, options at WAEP $11.79) are exercised in a state when the solved value exceeds the strike, cash in, net of fee [co_13, co_16, co_18, co_19]. A post-readout raise (base $150M, positive states only) is priced at the state value × (1 − discount): a company that wins raises at the post-data price, one that fails does not. No pre-readout raise is modelled: no ATM sales in H1 2026 [co_21], so the price as of publication moves no state value. Per share = Σ p(state) × value(state).
Scenario weights. Bear 0.30, base 0.50, bull 0.20 [A]; they drive the scenario-weighted tile only, which uses preset values for every key the presets change. The bull tail carries the blend; the page leads with base and the state values.

Caveat. [A]-flagged parameters are analyst assumptions; stress them before citing. Commercial share swings value about seven times more than the largest trial input: the readout decides whether there is a product; share and price decide what it is worth. Revenue does not scale with the observed effect size in this model [A]. Model outputs are not forecasts, price targets or recommendations.
